ACCUM TERMS AND CONDITIONS

These Terms and Conditions (“Agreement”) govern the use of services provided by Accum, Inc. and eCommerce SolutionZ (“Accum”, “we”, “our”, or “us”). By purchasing services, creating an account, or using our platform, you (“Client”, “you”, or “your”) agree to these Terms.
1. Definitions
Account – Client’s Accum account and associated services.
Website – The website, storefront, CRM, integrations, and associated technology provided by Accum.
Subscription – The recurring monthly or annual fee associated with the selected plan.
Own Forever Program – A program under which ownership rights may transfer to the Client after all required payments and obligations have been satisfied.
Promotional Offer – Any discounted or introductory pricing offered by Accum, including “$1 to Start.”
2. Eligibility and Account Registration
You must:
- Be at least 18 years old;
- Provide accurate business information;
- Maintain a valid email and payment method;
- Have authority to act on behalf of your business.
You are responsible for all activity under your account.
3. Services
Accum provides:
- Website development;
- Magento and WordPress websites;
- CRM and automation tools;
- Distributor integrations;
- SEO and digital marketing;
- Hosting and maintenance;
- Email and SMS marketing;
- Other services as described in your selected plan.
Accum may modify or discontinue features at any time.
4. Onboarding and Setup
Setup fees are due at onboarding.
Client agrees to provide:
- Logos;
- Product data;
- Images;
- Business information;
- Access credentials;
- Other materials reasonably requested.
Project delays caused by the Client may delay launch timelines.
5. Subscription Fees and Billing
- The Client agrees to pay all applicable fees, including but not limited to:
- • Setup fees;

Transaction fees;

Distributor integration fees, including ongoing live product integrations where applicable. Ongoing integrations are included as part of the subscription service. Failure to maintain timely subscription payments may result in suspension or termination of eCommerce integration and automation services;

Distributor integration setup fees, which cover the initiation and configuration of integrations only and do not include ongoing maintenance or support unless otherwise specified;

Development fees;

Customization fees;

Marketing and consulting fees; and
Any additional fees or charges approved by the Client.
- Subscription Billing
- Subscription fees shall commence on the day following completion of the initial setup.
- If the setup process extends beyond thirty (30) days from the project start date due to delays caused by either the Client or Accum, subscription fees shall become due and payable immediately upon completion of the setup and activation of the services.
Subscriptions renew automatically until canceled.
Accum may automatically charge the payment method on file.
Failure to maintain a valid payment method may result in immediate suspension.
6. “$1 to Start” Promotional Offer
Accum may offer promotional pricing including “$1 to Start.”
Unless otherwise stated in writing:
- “$1 to Start” means the Client pays a promotional fee of $1 for the initial subscription period or activation period designated by Accum.
- The promotion is intended solely as an introductory offer.
- The promotion does not constitute ownership or equity.
- The promotion does not waive setup fees, customization fees, development fees, transaction fees, or other applicable charges.
- Following the promotional period, billing automatically continues according to the selected plan.
Accum reserves the right to determine eligibility and duration of promotional offers.
7. Additional Development and Customization
Standard plans include only the services described in the selected subscription.
The following may incur additional fees:
- Custom development;
- Third-party integrations;
- Design revisions;
- Additional meetings or consulting;
- Marketing campaigns;
- Content creation;
- Advanced troubleshooting.
No additional work will begin until approved by the Client.
8. Client Responsibilities
Client is solely responsible for:
- Products and pricing;
- Inventory;
- Taxes;
- Legal compliance;
- Customer service;
- Returns and refunds;
- Shipping and fulfillment;
- Content supplied to Accum.
Repeated failure to provide required information or approvals may result in suspension or termination.
9. Support Services
Support is provided according to the subscribed plan.
Support does not include:
- Unlimited consulting;
- Legal advice;
- Business strategy;
- Requests outside the plan scope;
- Repeated explanations of previously communicated policies.
Accum reserves the right to determine whether a request is covered by standard support.
10. Website Maintenance and Hosting
Accum performs routine maintenance including:
- CMS updates;
- Plugin and extension updates;
- Security patches;
- Compatibility testing;
- Performance improvements.
Performance depends on:
- Hosting plan;
- Traffic;
- External services;
- Third-party APIs.
Accum does not guarantee uninterrupted service.
11. Website Ownership and Intellectual Property
Client Content
Client retains ownership of:
- Logos;
- Product information;
- Customer information.
Client grants Accum permission to use such content for the purpose of providing services.
Accum Intellectual Property
Accum retains ownership of:
- Themes;
- Templates;
- Source code;
- CRM systems;
- Integrations;
- Extensions;
- Plugins
- Designs;
- Proprietary technology;
- Documentation.
12. Own Forever Program
Certain plans include an Own Forever option.
The Own Forever Program means ownership of the Website and associated assets may transfer to the Client after:
- The Client has paid the full cost associated with the selected plan through:
- Monthly payments;
- Annual payments; or
- Lifetime payments.
- All setup fees, development fees, customization fees, subscription fees, migration fees, and outstanding invoices have been paid in full.
- The account is in good standing.
- All outstanding fees have been paid.
- Final transfer and outstanding fees have been paid.
Until ownership transfers in writing:
- The Website remains the sole property of Accum;
- The Client receives only a limited, revocable license to use the Website;
- Accum has no obligation to provide source code, server access, backups, development files, or copies of the Website;
- Accum may suspend or terminate access pursuant to these Terms.
Failure to complete payments or breach this Agreement may terminate participation in the Own Forever Program.
13. Maintenance License
Maintenance Licenses may include:
- Website updates;
- Extension support;
- Plugin support;
- CRM access;
- CMS access;
- Analytics;
- Ticket support;
- Dedicated managerial support.
Maintenance Licenses do not transfer ownership.
14. Server Access and Website Transfers
Server access, backups, migrations, or website transfers are only available when:
- Ownership has transferred and paid in full (outstanding included);
- The account has been formally canceled;
- All invoices and fees have been paid in full.
Accum may deny transfer requests if ownership has not transferred.
15. Suspension and Termination
Accum may suspend or terminate services immediately, with or without notice, if the Client:
- Fails to make payments;
- Maintains an invalid payment method;
- Violates these Terms;
- Engages in unlawful activity;
- Files chargebacks without attempting good-faith resolution;
- Repeatedly fails to provide approvals or required information;
- Makes unreasonable, excessive, or materially changing requests outside the subscribed plan;
- Engages in abusive, harassing, or disruptive conduct toward Accum employees or contractors;
- If Accum determines, in its sole discretion, that the relationship is no longer commercially viable or aligned with its service model.
Upon suspension or termination:
- Websites may be disabled immediately;
- CRM access may be revoked;
- Hosting may be terminated;
- Development and support may cease immediately;
- Outstanding balances remain due.
Accum is under no obligation to reinstate services.
16. Cancellation
Client may cancel by:
- Contacting support; or
- Submitting a cancellation request through the dashboard.
Cancellation does not relieve Client of obligations for:
- Outstanding invoices;
- Development fees;
- Customization fees;
- Migration fees;
- Final & cancellation invoice;
- Other charges incurred prior to cancellation.
No refunds are provided.
17. Chargebacks and Payment Disputes
Client agrees to contact Accum and attempt good-faith resolution before filing:
- Chargebacks;
- Fraud claims;
- Payment disputes.
Accum may suspend services immediately upon receipt of a chargeback or dispute.
18. Limitation of Liability
To the maximum extent permitted by law:
Accum’s total liability shall not exceed the amount paid by Client during the preceding one (1) month.
Accum is not liable for:
- Lost profits;
- Lost sales;
- Lost data;
- Business interruption;
- Third-party failures;
- Consequential damages.
19. FFL Disclaimer
Accum is not a Federal Firearms Licensee (FFL).
Accum:
- Does not conduct firearm transfers;
- Does not store firearms;
- Does not provide legal advice;
- Does not guarantee regulatory compliance.
Client is solely responsible for compliance with:
- ATF regulations;
- Federal laws;
- State laws;
- Local laws.
20. Governing Law
These Terms are governed by the laws of California and Delaware.
Any disputes shall be resolved in the courts of California or Delaware.
21. Changes to Terms
Accum may update these Terms periodically.
Continued use of services after such updates constitutes acceptance of the revised Terms.
